Yeah, but the offer was for M$ paper. No wonder they were not so keen.

It's a relative risk. Face it Y stock was worthless and at least M has a huge high margin business to rely on unrelated to the internet. Stock was backed by lots of capital and high margins on their main business. It was Y! only real shot at remaining viable imo, likely would have been a debacle though. Nice that the M employees refused to keep silent on what a poor deal this was. I am pleased it didn't go through. Sad that they ended up getting raped by G instead though.

If this was all really true, why does Microsoft actually care so much?

Frankly, I doubt if MS would have been successful with Yahoo. Indeed, I think they would have destroyed the remain value. Of course without Yahoo, frankly they have not a cat in hell's chance of success. Mind set is completely different from Google.

Pretty much I would agree. MS does not have a clue what to do in the space and as Yahoo does not either, the two together would have likely been a very expensive calamity. But it doesn't change the fact that Jerry Yang really screwed his shareholders out of a lot of money. Business cases will be written in the future about exactly how and how badly he screwed the pooch on this deal.

soon worthless, but now not totally worthless yet. it still got korea, taiwan and japan market leadership.

jerry yang is bent on destroying the company he founded. only yahoo shareholders can stop it from happening.
